Terms and Conditions of Service

 Please read these terms and conditions carefully. They set out the terms under which these Netguides Services (the Web Page Editor and the Availability Calendar) are made available to you. These terms of use apply to Netguides customers and to visitors to the Netguides Services. By accessing the Netguides Services whether as a customer or a visitor you agree to be bound by these terms and conditions.

Upon notice published on-line Netguides may modify the terms and conditions contained herein and may discontinue or change the services offered in the event of the customer’s failure to comply with the following provisions.

We will respect your personal information and undertake to comply with all applicable UK Data Protection legislation currently in force.

SERVICE

You are responsible for obtaining access to the Service and that access may involve third party fees (such as Internet service provider or airtime charges). You are responsible for those fees, including those fees associated with the display or delivery of advertisements. In addition, you must provide and are responsible for all equipment necessary to access the Service.

99% CONNECTIVITY GUARANTEE - BACKED UP BY MONEY BACK

We guarantee that our services will be available at least 99% of the time (even though we are normally available 100% of the time).
Should we fail this promise and our network is unavailable for more than 1% of the time in any full calendar month then we will refund 1 days service for every hour connectivity has been unavailable over and above 1% of that month (this excludes scheduled and unscheduled maintenance). This guarantee extends in value up to a maximum of your monthly subscription charge.

PROPRIETARY RIGHTS

This service is provided for your use only and you may not sell it without prior agreement. You do not own the copyright on our design, however, Netguides does not claim ownership of the content you place within the service. Netguides grants you a personal, non-transferable right to use the Services Software via the internet provided that you do not yourself, or allow any third party to copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Software. You agree not to modify the Software in any manner or form.

INDEMNITY

You agree to indemnify and hold Netguides and its subsidiaries, affiliates, officers, agents or other partners, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of content you submit or make available through the service.

SECURITY

You will receive a login upon completing the Service’s registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to a) immediately notify Netguides of any unauthorised use of your password or account or any other breach of security, and b) ensure that you exit from your account at the end of each session. Netguides will to the best of their ability maintain the service so as to minimise the likelihood of any unauthorised content modification or service disruption. Netguides cannot and will not be liable for any loss or damage arising from breaches in security.

TECHNICAL SUPPORT QUERIES ANSWERED WITHIN 24 HOURS.

We provide telephone support during normal working hours and email support on the use of our services. We guarantee to respond to all email and telephone enquiries within one working day. However, in practice we usually answer technical questions within one hour.

MAINTENANCE

Netguides may take the service offline to provide unscheduled maintenance by providing at least two days advanced warning in the form of a message on the service portal.

Scheduled maintenance will be carried out between 8am and 9am on Friday mornings as required.

Scheduled Maintenance includes the following:

· Server and network maintenance to replace or repair components
· Software upgrades (e.g. operating system, application software) to include:
· new software release
· software patches
· software upgrades

LIMITATION OF LIABILITY

You expressly understand and agree that Netguides shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Netguides has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service;
(ii) unauthorised access to or alteration of your transmissions or data; (iii) any other matter relating to the service.

CANCELLATION

The services can be cancelled provided that 1 months notice is given by either Netguides or the customer. All cancellations in accordance with the terms and conditions contained herein must be submitted in via email, or in writing by fax or mail. All customer accounts must be paid in full before the transaction will be considered complete.

TERMINATION

You agree that Netguides, in its sole discretion, may terminate your password, account or use of the Service, and remove and discard any Content within the Service, for any reason, if Netguides believes that you have violated or acted inconsistently with the letter or spirit of the TOS.
